MASTER LEGAL AGREEMENT

for LineagePress Pro and all LineagePress LLC Products

1. TERMS OF SERVICE (TOS)

1.1 Overview

This Agreement governs all access to and use of LineagePress LLC’s websites, services, software, and products, including the LineagePress Pro plugin (“Software”).
By installing, purchasing, activating, or using the Software, the Licensee (“You”) agrees to all terms in this Master Legal Agreement.

1.2 Eligibility

You must have the legal authority to enter into contracts.
Use is worldwide, but subject to applicable local laws.

1.3 GPL Compatibility Notice

The free/base version of any LineagePress plugin distributed through WordPress.org is licensed under the GPLv2+ license as required by WordPress.

The Pro version, licensing system, dashboard, activation module, server-side components, premium templates, API integrations, and any non-public source code are licensed under this Agreement and remain proprietary to LineagePress LLC.

This Agreement applies to all non-GPL components.

1.4 Modifications to Terms

LineagePress may update or revise this Agreement at any time.
Continued use of the Software signifies acceptance of updated terms.
You will be notified via website notice or product update notifications.

2. END USER LICENSE AGREEMENT (EULA)

2.1 Grant of License

LineagePress LLC grants You a non-exclusive, non-transferable, revocable license to install and use the Software in accordance with your purchased license tier.

2.2 License Types

A. Yearly License

  • Valid for 12 months.
  • Includes updates and domain transfers during the active license period.
  • Expires if not renewed.
  • After expiration, the last activated version may continue working, but no updates or support are provided.

B. Lifetime License

“Lifetime” means:

The operational lifetime of LineagePress LLC as an active business.

It does not mean your lifetime, the lifetime of your device, or perpetual updates.

Lifetime Licenses include:

  • Unlimited software updates as long as LineagePress LLC remains in business.
  • Domain transfers as long as the activation server is operational.

3. DOMAIN FINGERPRINTING, ACTIVATION, & CLOSURE RULES

3.1 Domain Fingerprinting

The Software may use domain verification, machine identifiers, or server-based activation to validate licenses.

3.2 Domain Transfers (While Business Is Active)

While LineagePress LLC remains operational:

  • You may transfer your license to a different domain you own.
  • Transfers require a functioning activation server.

3.3 If LineagePress LLC Ceases Operations

If LineagePress LLC permanently closes OR the activation server becomes permanently unavailable:

✓ Your Lifetime license remains valid on the last domain where it was successfully activated.

✗ No additional domain transfers are possible.

✗ No updates, bug fixes, patches, or support will be provided.

✓ You may use the final working version indefinitely.

3.4 No Unlimited Domain Use

Licenses DO NOT grant unlimited installations unless expressly sold as such.

3.5 Anti-Piracy Measures

You agree not to:

  • Share activation keys
  • Circumvent domain locking
  • Upload or publish proprietary code
  • Clone or bypass licensing mechanisms

4. RESTRICTIONS

The Licensee may not:

  • Modify, alter, decompile, reverse engineer, or attempt to extract proprietary source code
  • Sub-license, sell, rent, or redistribute the Software
  • Remove branding, notices, or copyright statements
  • Use the Software illegally or in ways that violate privacy laws
  • Circumvent any activation, licensing, or security mechanisms

5. SUPPORT POLICY

5.1 Support Not Guaranteed

Support is not included with the software license.

LineagePress provides:

  • A public community support group (free, best-effort support)
  • Optional private paid support available at LineagePress’s discretion

License purchase does not guarantee one-on-one support.

5.2 No Duty to Continue Support

LineagePress may discontinue any support at any time.

6. SECURITY & DATA RESPONSIBILITY

6.1 Licensee Responsible for Site Content

You are solely responsible for:

  • All data stored on your website
  • Public, private, or sensitive information entered into the Software
  • Privacy law compliance (GDPR, CCPA, etc.)
  • Backups, security, and server configuration

6.2 No Liability for Hacks or Breaches

LineagePress LLC is not responsible for:

  • Hacks, leaks, breaches, or unauthorized access
  • Loss of data
  • Plugin conflicts
  • Server misconfiguration
  • User error
  • Compromised hosting environments
  • Vulnerabilities created by third-party themes/plugins

You agree not to hold LineagePress liable for security incidents.

7. DISCLAIMERS

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND.

LineagePress disclaims all warranties, including:

  • Fitness for a particular purpose
  • Non-infringement
  • Performance guarantees
  • Compatibility with future WordPress/PHP versions
  • Availability of activation servers
  • Error-free or uninterrupted operation

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

LineagePress LLC, its owners, heirs, successors, or estates shall not be liable for any:

  • Loss of data
  • Loss of revenue or business
  • Security breaches
  • Downtime or failures
  • Inaccurate data
  • Bugs, errors, or vulnerabilities
  • Direct, indirect, incidental, or consequential damages

Even if LineagePress has been advised of the possibility.

If the developer dies or the company closes, You agree that:

No party (owner, heirs, or estate) has any further obligation to provide support, updates, services, or compensation.

This is final and binding.

9. REFUND & RETURNS POLICY

9.1 No Refunds — All Sales Are Final

Because LineagePress LLC provides a fully functional free version of the Software — allowing users to evaluate compatibility, performance, and core functionality before purchasing — all sales of LineagePress Pro (including yearly and lifetime licenses) are final and non-refundable.

The free version does not include premium features, but it allows users to determine:

  • Whether the software works on their hosting environment
  • Whether the plugin fits their workflow
  • Whether the core functionality meets their needs

By purchasing the Pro version, You acknowledge that You have had the opportunity to test the free version and confirm suitability before buying.

9.2 No Refunds for Any Reason

Refunds will not be issued for reasons including, but not limited to:

  • Change of mind or buyer’s remorse
  • Incorrect or accidental purchase
  • Misunderstanding of plugin features
  • “The software doesn’t do what I expected”
  • Lack of a feature that is not advertised
  • Incompatibility due to third-party plugins, themes, or hosting
  • User error, misconfiguration, or failure to follow documentation
  • Server limitations or missing PHP/WordPress requirements
  • Activation or use of the license
  • Lack of need after purchase

9.3 Lifetime License Purchases

All Lifetime License purchases are strictly non-refundable, with no exceptions.

9.4 No Refunds After Download or Activation

Once the Software has been downloaded, accessed, activated, or installed, the sale is conclusively final and no refunds will be issued.

10. PRIVACY POLICY

10.1 Data Collected

LineagePress may collect:

  • Email, name, and billing info during purchase
  • Usage data, domain activation data, and license validation data
  • Technical data for debugging or analytics
  • Voluntary support submissions

10.2 How Data Is Used

  • To process licenses
  • To activate and validate your purchase
  • To send important security and update notices
  • To enforce licensing terms
  • To comply with legal obligations

10.3 No Selling of Personal Data

LineagePress does not sell or trade personal data.

10.4 Third-Party Services

Payment processors (e.g., Stripe, PayPal) handle transactions independently.
Their privacy policies apply to financial data.

10.5 GDPR Rights

Worldwide users may request:

  • Access
  • Correction
  • Deletion
  • Export
  • Processing restriction

11. TERMINATION

LineagePress may terminate your license immediately if:

  • You violate any terms
  • You distribute proprietary code
  • You commit fraud, piracy, or license sharing
  • You circumvent activation mechanisms

Upon termination:

  • You must remove the Software from all sites immediately.

12. GOVERNING LAW & ARBITRATION

12.1 Governing Law

This Agreement is governed by the laws of North Carolina (USA).

12.2 Arbitration

Any dispute or claim arising from this Agreement shall be resolved by binding arbitration conducted in:

Wilkesboro, North Carolina

under the rules of the American Arbitration Association (AAA).
No class actions.
No jury trial.

The prevailing party may recover legal fees.

13. ENTIRE AGREEMENT

This Master Legal Agreement constitutes the entire agreement between You and LineagePress LLC and supersedes any prior verbal or written understandings.
